These Terms and Conditions ("Terms") govern your use of Loadhalla and all related services operated by Runeteca Technologies LLC ("Runeteca," "we," "us," or "our"). By using our services, you agree to these Terms. If you do not agree, please do not use our services.

1. Description of Service

Loadhalla is an AI-powered missed call recovery platform for the trucking industry. The service automatically sends SMS messages to callers who reach an unanswered phone number, engages them in a conversation to capture freight load details, and notifies the carrier's dispatch team.

Our platform operates using Twilio for SMS delivery, OpenAI for AI-powered conversation handling, and Supabase for data storage.

2. SMS Messaging Program

Program name: Loadhalla AI Dispatch Assistant

Program description: Automated AI-powered SMS responses to missed calls, collecting freight load details on behalf of trucking carriers.

Message frequency: Message frequency varies. You will receive an initial SMS when you call a Loadhalla-powered number that goes unanswered. Additional messages occur only as part of an active conversation to collect load details, typically 2–10 messages per conversation.

Message and data rates: Message and data rates may apply depending on your mobile carrier and plan.

3. Consent to Receive SMS

By calling a phone number powered by the Loadhalla platform and receiving an automated SMS response, you provide implied consent to participate in an AI-assisted SMS conversation for the purpose of capturing freight load details.

You may opt out at any time by replying STOP. Opting out will immediately end all automated messages from that number.

4. Acceptable Use

You agree not to use our services to:

• Transmit unlawful, harassing, defamatory, or fraudulent content
• Attempt to reverse engineer, disrupt, or gain unauthorized access to our systems
• Use automated means to interact with our platform other than as expressly permitted
• Impersonate any person or entity or misrepresent your affiliation

5. Carrier Customer Responsibilities

If you are a carrier customer using Loadhalla for your business, you agree to:

• Use the platform only for legitimate business communications with freight brokers and industry contacts
• Ensure your use of the platform complies with applicable telecommunications laws and CTIA guidelines
• Not use the platform to send unsolicited commercial messages unrelated to freight operations
• Maintain accurate account and contact information

6. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that our services will be uninterrupted, error-free, or that all load opportunities will be successfully captured. AI-generated responses may occasionally contain errors or misinterpretations.

7. Limitation of Liability

To the maximum extent permitted by law, Runeteca Technologies LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services, including but not limited to lost revenue from missed load opportunities.

8. Modifications to Service and Terms

We reserve the right to modify or discontinue our services at any time. We may update these Terms periodically. Continued use of our services after changes constitutes acceptance of the updated Terms. The "Last Updated" date at the top of this page reflects the most recent revision.

9. Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Salt Lake County, Utah.
